These Terms of Service (“Terms”) are a legally binding agreement between you and TradesKnow governing access to and use of TradesKnow, including the website, Ask experience, any Field application or PWA, and related services we make available to invitees (collectively, the “Service”).
By creating an account, accepting an invite, accessing, or using the Service, you agree to these Terms, the Privacy Policy, and the Acceptable Use Policy (“AUP”), which is incorporated by reference. If you do not agree, do not use the Service.
1. Acceptance
1.1 You accept these Terms by (a) clicking to agree where we present them, (b) creating or using an account, or (c) otherwise accessing the Service after we have provided notice of these Terms.
1.2 If you use the Service on behalf of a company or shop, you represent that you have authority to bind that entity, and “you” includes that entity.
1.3 We may update these Terms as described in Section 18. Continued use after the updated Terms take effect constitutes acceptance, except where applicable law requires additional consent.
2. Eligibility
2.1 You must be at least 18 years old. The Service is not directed to children.
2.2 The Service is intended for licensed tradespeople, apprentices working under appropriate supervision where the applicable trade and jurisdiction allow, shop owners, and other trade professionals who use the Service in connection with their work. You are responsible for determining that your use is lawful in your jurisdiction and consistent with your license, apprenticeship, and employer rules.
2.3 Invite-only access does not mean we have verified your license, apprenticeship, or right to perform work. We do not issue, confirm, or substitute for any license.
2.4 You must provide accurate account information and keep it current.
3. Description of the Service — what TradesKnow is and is not
3.1 What it is
TradesKnow is an AI assistant for and by the trades. It is designed to help with part identification, specifications, code references (not code authority), troubleshooting support, and capturing experienced technician know-how for use in the product experience.
Phase 1 is invite-only and free. Monetization is deferred. We may offer Ask, Field, or both; Field may be limited (including loopback-only or otherwise restricted) at launch.
3.2 What it is not
TradesKnow is not:
- a marketplace, job board, or hiring platform;
- a lead-generation service;
- field service management (FSM), dispatch, invoicing, or payroll software;
- a licensing body, state board, authority having jurisdiction (AHJ), permitting office, or professional certifier;
- an engineering stamp, inspection, or sign-off;
- a substitute for a licensed contractor, electrician, plumber, HVAC technician, engineer, inspector, or other qualified professional;
- emergency services.
We do not match you with customers, sell your labor, or authorize you to perform work.
4. Invite-only; free phase; no paid features yet
4.1 Access is by invitation from TradesKnow. An invite is personal, revocable, and non-transferable unless we say otherwise in writing.
4.2 Phase 1 is provided free of charge. These Terms do not include fees, subscriptions, auto-renewal, refunds, or taxes. If we later offer paid plans, we will present additional terms before charging you.
4.3 Invite-only and free do not mean unlimited, error-free, or production-warranty service. Capacity, features, and availability may change. We may throttle, wait-list, or withdraw features (including Field) at any time.
4.4 Beta, preview, loopback, or experimental features may be unreliable. Field, if offered in a restricted or loopback-only mode, is not a representation that networked Field is generally available.
5. Accounts
5.1 You are responsible for your account credentials and for all activity under your account. Notify us promptly at [CONTACT EMAIL] if you believe your account is compromised.
5.2 We may refuse, suspend, or reclaim usernames or accounts that violate these Terms or the AUP, or that impersonate another person or an authority (including an AHJ or licensing board).
5.3 You must not share invite links or accounts except as we expressly allow (for example, a shop seat we provision).
6. Acceptable use
You must comply with the Acceptable Use Policy. Without limiting the AUP, you must not:
- use the Service for unlawful purposes;
- request or treat outputs as authorization to perform work you are not licensed or qualified to perform;
- use the Service to circumvent licensing, permitting, inspection, or apprenticeship rules;
- request instructions for gas, live electrical panels, structural, or confined-space work as a substitute for a licensed professional on site;
- scrape, bulk-harvest, or systematically extract content except as allowed by law or our written permission;
- reverse engineer the Service except to the extent applicable law prohibits that restriction;
- misrepresent TradesKnow outputs, or yourself, as AHJ, license, permit, or certification authority;
- upload another person’s personal information unlawfully;
- attempt to bulk-approve or batch-clear hazardous work through the product.
We may refuse prompts, withhold outputs, or suspend accounts that cross these lines.
7. AI outputs — not advice, not authority, may be wrong
7.1 TradesKnow uses machine learning and other software to generate answers, drafts, part matches, code references, troubleshooting suggestions, and similar output (“Outputs”).
7.2 Outputs may be wrong, incomplete, outdated, or inapplicable to your job, jurisdiction, or equipment. You must independently verify Outputs before relying on them in the field. Codes, manufacturer specifications, and AHJ requirements change and are local.
7.3 Outputs are not professional advice. They are not engineering, legal, code-official, or licensed-trade advice. They are not a design, stamp, inspection, or sign-off.
7.4 Outputs are not building-code authority, electrical- or plumbing-code authority, manufacturer approval, or AHJ interpretation. A citation or quotation in the product is a reference aid only.
7.5 You remain solely responsible for how you use Outputs, including whether work is performed, by whom, under what license, and in compliance with applicable codes and job-site safety rules.
8. No license, permit, or AHJ substitution
8.1 TradesKnow do not issue licenses, registrations, permits, inspections, AHJ approvals, or professional certifications. We do not evaluate or attest that you (or anyone else) are licensed, bonded, insured, or qualified to perform a particular job.
8.2 You remain responsible for holding every license, registration, and permit required for the work you perform, for working within the scope of that authority, and for complying with codes and AHJ requirements in the place of work.
8.3 If the Service collects license metadata (license number, issuing state, trade, and expiry only — not license images), that collection is for account, eligibility, or anti-abuse purposes we describe in the Privacy Policy. It is not state-board verification and does not create a “verified licensee” status.
8.4 Ask UI labels “Verified” and “Draft” mean only whether an answer (or portion of an answer) is drawn from our verified corpus versus produced as a model draft. They do not mean that a person, shop, or output is verified by a state board, AHJ, or licensing authority. We do not offer a “Verified {trade}” state-board badge.
9. Safety and hazardous work
9.1 The Service must not be used to authorize work or to substitute for licensed human judgment on the job. If a task is dangerous, unfamiliar, or outside your license and training, stop and use a qualified professional and proper procedures — not a chatbot.
9.2 Safety no-gos. You must not use the Service to obtain, and we do not authorize, how-to instruction that substitutes for a licensed professional on:
- gas (including natural gas, LP, and related fuel-gas work);
- live electrical panels and other energized electrical work;
- structural work (including load-bearing modification, excavation affecting structure, and similar);
- confined space entry or work.
The product is designed to refuse hazardous how-to that crosses that line. A refusal is not optional color; it is a safety control. Do not rephrase prompts to defeat it.
9.3 No bulk-approve on hazards. There is no feature, and you must not attempt to create a workflow, that bulk-approves, batch-clears, or rubber-stamps hazardous work, including the classes in Section 9.2.
9.4 Emergencies (fire, gas leak, electrical shock, structural collapse, a person in a confined space, medical emergency): call emergency services and qualified on-site professionals. Do not use TradesKnow as an emergency procedure.
9.5 Job-site safety obligations (OSHA / state plan, employer rules, lockout-tagout, PPE, permits-to-work) remain yours and your employer’s. The Service does not discharge them.
10. User content
10.1 “User Content” means content you submit to the Service, including Ask queries, notes, feedback, and any Field job captures or job data (photos, measurements, equipment identifiers, voice notes, job context, and similar) if Field is enabled for you.
10.2 You retain whatever ownership rights you have in your User Content. You are responsible for User Content and represent that you have the rights needed to submit it and that it does not violate law or third-party rights.
10.3 License to TradesKnow (narrow). You grant TradesKnow a worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, and otherwise use User Content solely to operate, maintain, secure, and provide the Service to you and (where applicable) your shop, and to fix bugs, prevent abuse, and comply with law.
10.4 Two-door — member job data never trains the model. TradesKnow will not use member job data or Field job captures to train, fine-tune, or otherwise improve foundation models or TradesKnow’s task models. That prohibition is a core term. Processors who help us operate the Service may process that data to generate Outputs for you; they are not licensed by these Terms to use it to train their models for their own purposes, and we contract against that to the extent we use such processors.
10.5 Model improvement path (expert / Teach only). If we later offer a Teach or expert-contribution program, model training or evaluation on that content happens only on content an expert contributor has consented to provide for that purpose under separate contributor terms. Those separate terms are not part of this Phase 1 clickwrap and are not presented for production signature in this launch. Member job data is never that path.
10.6 We may remove User Content that violates these Terms or the AUP, or that we are required to remove by law.
11. Feedback
If you send ideas, suggestions, or error reports (“Feedback”), you grant TradesKnow a perpetual, worldwide, irrevocable, royalty-free license to use Feedback without restriction or compensation. Feedback is not User Content treated as member job data under Section 10.4, but we will not treat Field job captures as Feedback merely by relabeling them.
12. Intellectual property; our materials
12.1 TradesKnow and its licensors own the Service, including software, models as provided to you, interfaces, documentation, and the verified corpus we surface, excluding your User Content. These Terms do not transfer our IP to you.
12.2 We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal trade-professional purposes during the invite period, subject to these Terms.
12.3 You must not copy, frame, resell, or publicly rebroadcast the Service or substantial extracts of the corpus except as we allow in writing. Outputs are licensed to you for your internal use subject to Sections 7–9. We do not claim ownership of your original User Content.
12.4 TradesKnow names and marks are ours. These Terms do not grant a trademark license except as needed to refer factually to the Service.
13. Third-party services
The Service may depend on third-party hosting, model-inference, analytics, or communications providers. Their terms and privacy practices apply to their services. We are not responsible for third-party sites or services we do not control. Use of third-party model providers is subject to the two-door rule in Section 10.4: member job data and Field job captures are not a training source.
14. Disclaimers of warranty
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESKNOW DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ACCURATE, COMPLETE, SAFE TO FOLLOW, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT USE OF THE SERVICE WILL SATISFY ANY CODE, LICENSE, PERMIT, AHJ, INSURER, OR EMPLOYER REQUIREMENT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESKNOW AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, OR FOR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM USE OF THE SERVICE OR RELIANCE ON OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (WHICH, IN THIS FREE PHASE, IS ZERO) OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND SURVIVE FAILURE OF ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE SUCH A LIMITATION IS PROHIBITED).
Field work is inherently dangerous. You assume the risk of using informational software in connection with physical work. TradesKnow is not on your job site and is not your employer, supervisor, or competent person.
16. Indemnification
You will defend, indemnify, and hold harmless TradesKnow and its members, officers, employees, and agents from and against claims, damages, losses, and reasonable attorneys’ fees arising out of or related to: (a) your User Content; (b) your use of the Service or Outputs, including any work performed or not performed on a job site; (c) your violation of these Terms, the AUP, or law; (d) your infringement or misappropriation of third-party rights; or (e) your failure to hold required licenses, permits, or to follow codes, AHJ requirements, or safety rules.
17. Termination
17.1 You may stop using the Service at any time. You may request account deletion as described in the Privacy Policy.
17.2 We may suspend or terminate access immediately if you violate these Terms or the AUP, if your invite is withdrawn, if we discontinue the Service or a feature, or if we reasonably believe we must do so to protect users, TradesKnow, or the public (including safety-refuse abuse).
17.3 Sections that by their nature should survive (including 7–16, 18–20, and the two-door rule) survive termination. On termination we may delete or de-identify data as described in the Privacy Policy, subject to legal holds.
18. Changes to the Service and to these Terms
We may modify the Service and these Terms. For material changes to the Terms we will provide notice (for example, in-product or by email) a reasonable time before they take effect, unless the change is required by law or needed to address a safety or security issue, in which case we may make the change immediately. If you do not agree, you must stop using the Service.
19. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules that would apply another jurisdiction’s laws.
The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state or federal courts located in Wilmington, Delaware, and you and TradesKnow consent to personal jurisdiction there.
If you are a consumer entitled under non-waivable law of your state of residence to other courts or protections, those non-waivable rights remain. We do not demand arbitration in this Phase 1 document; if that is added later, it will be presented as a material change.
20. Miscellaneous
20.1 Entire agreement. These Terms, the Privacy Policy, and the AUP are the entire agreement between you and TradesKnow regarding the Service, and supersede prior understandings on that subject. Contributor / Teach terms, if ever offered, will be a separate agreement.
20.2 Severability. If a provision is unenforceable, the remainder stays in effect.
20.3 No waiver. Failure to enforce a provision is not a waiver.
20.4 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, or sale of assets.
20.5 No third-party beneficiaries, except indemnified persons under Section 16.
20.6 Notices. We may notice you via the Service or the email on your account. You may notice us at [CONTACT EMAIL] or [COMPANY ADDRESS].
20.7 Export and sanctions. You must not use the Service in violation of U.S. export or sanctions laws.
20.8 Government users. The Service is commercial computer software / commercial data. No additional government rights are granted.
